Corporate Social Responsibility

Corporate Social Responsibility Policy has been developed in accordance with section 135 of the Companies Act 2013 and the Companies (Corporate Social Responsibility) Rules, 2014 as notified by the Ministry of Corporate Affairs, Government of India.

Lakeland Gloves and Safety Apparel Private Limited, (herein after referred to as "The Company") is a Private Company engaged in the manufacturing of Safety Apparels and trading of items related to body protection like, Head Protection, Ear Protection, Eye Protection, Hand Protection, Chemical Protection, Fire Protection, Dust Protection etc. since last 15 Years.

Our commitments towards Corporate Social Responsibility include but not limited to, promotion of education and healthcare, energy and climate change and betterment of the society through respect for universal human rights and the environment, acting with integrity and accountability and operating responsibly and sustainably.

The Company targets growth of all stakeholders under the following categories mentioned in Schedule VII of the Companies Act, 2013:

• Eradicating hunger, poverty and malnutrition, promoting health care including preventive health care and sanitation including contribution to the Swatch Bharat Kosh set-up by the Central Government for the promotion of sanitation and making available safe drinking water.
• Promoting education, including special education and employment enhancing vocation skills especially among children, women, elderly and the differently abled and livelihood enhancement projects.
• Promoting gender equality, empowering women, setting up homes and hostels for women and orphans; setting up old age homes, day care centres and such other facilities for senior citizens and measures for reducing inequalities faced by socially and economically backward groups.
• Ensuring environmental sustainability, ecological balance, protection of flora and fauna, animal welfare, agroforestry, conservation of natural resources and maintaining quality of soil, air and water including contribution to the Clean Ganga Fund.
• Protection of national heritage, art and culture including restoration of buildings and sites of historical importance and works of art; setting up public libraries; promotion and development of traditional art and handicrafts.
• Measures for the benefit of armed forces veterans, war widows and their dependents, CAPF and CPMF veterans, and their dependents including widows.
• Training to promote rural sports, nationally recognised sports, paralympic sports and Olympic sports.
• Contribution to the Prime Minister's National Relief Fund or PM CARES Fund or any other fund set up by the Central Government for socio economic development and relief and welfare of the Scheduled Caste, Tribes, Other Backward Classes, Minorities and Women.
• (a) Contribution to incubators or research and development projects in the field of science, technology, engineering and medicine, funded by the Central or State Government or Public Sector Undertaking or any agency of the Central or State Government; and (b) Contributions to public funded Universities; IITs; National Laboratories and autonomous bodies established under DAE, DBT, DST, DRDO, ICAR, ICMR and CSIR, engaged in research aimed at promoting Sustainable Development Goals (SDGs).
• Rural development projects.
• Slum area development.
• Disaster management, including relief, rehabilitation and reconstruction activities.

Pursuant to the Section-135(9) the requirement for constitution of the Corporate Social Responsibility Committee is not applicable and the functions of such Committee provided under this section shall, in such cases, be discharged by the Board of Directors. The Board shall be responsible for:

1. Formulating and updating of CSR Policy
2. Formulating an Annual Action Plan
3. Regular monitoring of implementation of CSR policy
4. Identifying key initiative pursuant to the CSR policy
5. Recommending CSR expenditure to be incurred
6. Recommending modifications to CSR policy as and when required

To implement the Company's CSR objectives, the Company will specify the CSR Programmes which may be undertaken by Section 8 Companies / NGOs in accordance with their Objects and administrative and accounting process laid down in the respective Deeds / Byelaws / Memorandum and Articles of Association.

1. Every year, the Board will place a CSR Plan describing the CSR Programmes to be carried out during the financial year and the specified budgets thereof. The Board will consider and approve the CSR Plan.
2. The persons / bodies to which the implementation is assigned will carry out such CSR Programmes as determined by the Board within the specified budget and timeframes and report back to the Board on the progress thereon at such frequency as the Board may direct.
3. The Board shall review the implementation of the CSR Programmes on regular basis and issue necessary directions from time to time to ensure orderly and efficient execution of the CSR Programmes in accordance with this Policy.

As required by the provisions of the Companies Act and Rules made thereunder, required particulars of the CSR activities shall be disclosed in the Report of the Board of Directors of the company.
